1. DEFINITIONS AND INTERPRETATION

1.1 In these Terms and Conditions, unless the context clearly indicates otherwise:

"Campaign" means the "Excuse My Loan" promotional campaign conducted by Unifi as described herein;

"CPA" means the Consumer Protection Act 68 of 2008;

"Eligible Participant" means a person who satisfies all eligibility criteria set out in clause 7;

"NCA" means the National Credit Act 34 of 2005;

"Participant" means any person who enters, competes in, or is otherwise eligible to participate in the Campaign, as defined in section 1 of the CPA;

"Personal Information" has the meaning ascribed thereto in the Protection of Personal Information Act 4 of 2013;

"POPIA" means the Protection of Personal Information Act 4 of 2013;

"Prize" means the loan forgiveness benefit as described in clause 5;

"Promoter" or "Unifi" means Unifi Credit (Pty) Ltd;

"Terms" means these Terms and Conditions as may be amended from time to time.

1.2 References to legislation include any amendment, replacement, or re-enactment thereof.

1.3 Headings are for convenience only and do not affect interpretation.

1.4 Words importing any gender include the other genders, and words in the singular include the plural and vice versa.

2. CAMPAIGN OVERVIEW AND LEGAL BASIS

2.1 This Campaign is conducted in accordance with the Consumer Protection Act 68 of 2008, specifically sections 36, 37, and 43 relating to promotional competitions.

2.2 Unifi, as a registered credit provider under the National Credit Act 34 of 2005, conducts this Campaign in compliance with all applicable credit legislation and regulations.

2.3 Participation in this Campaign is voluntary and constitutes acceptance of these Terms in their entirety.

2.4 This Campaign is governed by South African law and subject to the jurisdiction of South African courts.

3. BINDING ACCEPTANCE AND CONTRACT FORMATION

3.1 Entry into the Campaign constitutes:

3.1.1 Binding acceptance of these Terms by the Participant;

3.1.2 Acknowledgement that the Participant has read, understood, and agrees to be bound by these Terms;

3.1.3 Consent to the processing of Personal Information as detailed in clause 21;

3.1.4 Agreement on behalf of any person with whom a Prize may be shared.

3.2 No oral modifications or variations to these Terms shall be valid or binding.

3.3 Unifi reserves the right to amend these Terms at any time by providing reasonable notice to Participants through its website and social media channels.

4. CAMPAIGN PERIOD AND STRUCTURE

4.1 Main Campaign Period: September 8, 2025, to October 3, 2025 @ 12:00

4.2 Weekly Prize Distribution: Ten (10) Prize winners shall be selected each Friday during the Campaign Period, resulting in forty (40) total Main Campaign winners.

5. PRIZE DESCRIPTION AND VALUE

5.1 Main Campaign Prize: Complete forgiveness of the winner's active Unifi loan balance.

5.2 Prize Specification:

5.2.1 The outstanding principal amount, accrued interest, and associated fees owed to Unifi shall be written off;

5.2.2 For Participants with multiple active loans, the total amount of the combined loans shall be eligible for forgiveness;

5.2.3 All other loan obligations to Unifi remain binding and enforceable;

5.2.4 Prize value varies based on individual loan balances at the time of selection.

5.3 Tax Implications: Winners acknowledge that loan forgiveness may constitute a donation or benefit subject to taxation under the Income Tax Act 58 of 1962, and assume full responsibility for any tax obligations arising therefrom.

6. ELIGIBILITY EXCLUSIONS

6.1 The following persons are expressly excluded from participation:

6.1.1 Directors, members, partners, employees, agents, consultants, or contractors of Unifi worldwide;

6.1.2 Employees of affiliated companies, agencies, or service providers of Unifi;

6.1.3 Immediate family members of persons described in clauses 6.1.1 and 6.1.2;

6.1.4 Any person who directly or indirectly controls or is controlled by Unifi;

6.1.5 Sponsors, promoters, or their representatives associated with the Campaign

6.2 "Immediate family members" includes spouses, parents, children, siblings, grandparents, grandchildren, and persons residing in the same household.

7. PARTICIPANT ELIGIBILITY CRITERIA

7.1 To qualify for the Campaign, Participants must satisfy all of the following criteria:

7.2 Citizenship and Age Requirements:

7.2.1 Be citizens or permanent residents of the Republic of South Africa;

7.2.2 Be twenty (20) years of age or older on the Campaign commencement date;

7.2.3 Provide satisfactory proof of identity and residence when requested.

7.3 Loan Status Requirements:

7.3.1 Maintain an active credit agreement with Unifi throughout the Campaign Period;

7.3.2 Maintain current payment status without arrears during the Campaign Period;

7.3.3 Maintain an active debit order mandate with Unifi in good standing;

7.3.4 Previous Unifi clients may qualify by entering into a new credit agreement during the Campaign Period.

7.4 Compliance Requirements:

7.4.1 Have not been declared insolvent or placed under administration;

7.4.2 Have no judgment debt against Unifi outstanding;

7.4.3 Comply with all terms of existing credit agreements with Unifi.

8. PARTICIPATION MECHANICS AND WINNER SELECTION

8.1 Automatic Entry: Eligible Participants are automatically entered into the Main Campaign without further action required.

8.2 Winner Selection Process:

8.2.1 Random computerised selection from the database of Eligible Participants;

8.2.2 Selection conducted by an independent third party each Friday during the Campaign Period;

8.2.3 Independent verification of winner eligibility prior to prize award;

8.2.4 Alternative winner selection if the initial winner is subsequently disqualified.

9. WINNER NOTIFICATION AND VERIFICATION

9.1 Notification Process:

9.1.1 Winners shall be contacted telephonically within 48 hours of selection;

9.1.2 Alternative contact methods may be employed if telephonic contact fails;

9.1.3 Winners will be contacted no more than three times, if the winner does on answer within the three attempts, they will forfeit their benefit of having their loan(s) excuse and the next identified winner shall be contacted;

9.1.4 Failure to respond may result in disqualification and alternative winner
selection.

9.2 Verification Requirements:

9.2.1 Verification of continued compliance with eligibility criteria;

9.2.2 Confirmation of loan account status and balance;

9.2.3 Completion of required administrative documentation.

9.3 Public Announcement:

9.3.1 Winners' first names and cities of residence may be published on social media;

9.3.2 Full privacy protection measures shall be implemented;

9.3.3 Winners may opt out of public announcement.

10. MARKETING AND PUBLICITY RIGHTS

10.1 Winners may be requested to consent to the use of their name, image, likeness, and testimonial for marketing and promotional purposes.

10.2 Such consent is voluntary and may be declined without affecting Prize entitlement.

10.3 No compensation shall be payable for marketing or promotional use.

10.4 Consent may be withdrawn at any time with reasonable notice to Unifi.

11. FREQUENCY AND HOUSEHOLD LIMITATIONS

11.1 Participants who have won any Unifi promotional campaign within the preceding six (6) months are ineligible.

11.2 Maximum one (1) Prize per household per Campaign.

11.3 "Household" means persons residing at the same physical address or sharing common financial resources.

12. LIMITATION OF LIABILITY AND INDEMNIFICATION

12.1 Technical Failures: Unifi accepts no responsibility for technical malfunctions, including but not limited to:

12.1.1 Telecommunications network failures;

12.1.2 Computer system malfunctions;

12.1.3 Internet connectivity issues;

12.1.4 Social media platform unavailability;

12.1.5 Third-party service provider failures.

12.2 Participant Indemnification: Participants agree to indemnify and hold Unifi harmless from any losses, damages, claims, or actions arising from:

12.2.1 Participation in the Campaign;

12.2.2 Acceptance or use of any Prize;

12.2.3 Breach of these Terms;

12.2.4 Violation of applicable laws or regulations.

12.3 Limitation of Damages: Unifi's maximum liability shall not exceed the value of the Prize awarded to the affected Participant.

13. PARTICIPANT OBLIGATIONS AND WARRANTIES

13.1 Participants warrant that all information provided is accurate, complete, and current.

13.2 Participants undertake to notify Unifi promptly of any material changes affecting eligibility.

13.3 Participants acknowledge responsibility for maintaining communication channel accessibility.

13.4 Participants agree to cooperate with verification and administrative processes.

14. JUDICIAL DETERMINATION AND FINALITY

14.1 All Campaign decisions are final and binding.

14.2 No correspondence or negotiation shall be entered into regarding Campaign outcomes.

14.3 Disputes shall be resolved through the Consumer Protection Act complaint procedures before court proceedings.

14.4 The High Court of South Africa (Western Cape Division) shall have exclusive jurisdiction over any disputes.

15. PRIZE CHARACTERISTICS AND RESTRICTIONS

15.1 Prizes are non-transferable and non-assignable.

15.2 Prizes may not be exchanged for cash or alternative benefits.

15.3 No alternative prizes shall be offered.

15.4 Prize values are determined at the time of winner selection.

6. INFORMATION REQUIREMENTS AND COOPERATION

16.1 Unifi may require additional information for Prize processing and legal compliance.

16.2 Failure to provide required information may result in Prize forfeiture.

16.3 All information must be provided within specified timeframes.

16.4 False or misleading information shall result in immediate disqualification.

17. CAMPAIGN MODIFICATION AND TERMINATION RIGHTS

17.1 Unifi reserves the absolute right to:

17.1.1 Cancel or suspend the Campaign at any time;

17.1.2 Modify Campaign terms with reasonable notice;

17.1.3 Disqualify Participants for Terms violations;

17.1.4 Investigate suspected fraud or misconduct.

17.2 Cancellation or Suspension Effects:

17.2.1 Participants waive all rights and claims arising from cancellation or suspension;

17.2.2 No compensation shall be payable for Campaign cancellation;

17.2.3 Prizes already awarded remain valid and binding.

18. ERROR DISCLAIMER AND CORRECTION RIGHTS

18.1 Unifi accepts no responsibility for typographical, technical, or administrative errors in Campaign materials.

18.2 Unifi reserves the right to correct errors and amend Campaign terms accordingly.

18.3 Material errors affecting Campaign integrity may result in Campaign cancellation or modification.

19. FORCE MAJEURE AND EXTRAORDINARY CIRCUMSTANCES

19.1 Unifi shall not be liable for failure to perform obligations due to circumstances beyond its reasonable control, including:

19.1.1 Natural disasters, pandemics, or public health emergencies;

19.1.2 Government regulations or restrictions;

19.1.3 Strike, labour disputes, or supplier failures;

19.1.4 Technological failures or cybersecurity incidents.

19.2 Campaign suspension or modification may be implemented during force majeure events.

20. REGULATORY COMPLIANCE AND CONSUMER PROTECTION

20.1 This Campaign complies with Consumer Protection Act requirements for promotional competitions.

20.2 Participants retain all consumer rights under applicable legislation.

20.3 Complaints may be lodged with the National Consumer Commission for Consumer Protection Act violations.

20.4 National Credit Regulator oversight applies to credit-related aspects of the Campaign.

21. PRIVACY AND PERSONAL INFORMATION PROTECTION

21.1 POPIA Compliance: Personal Information processing complies with the Protection of Personal Information Act 4 of 2013.

21.2 Information Processing Purposes:

21.2.1 Campaign administration and Prize distribution;

21.2.2 Winner verification and communication;

21.2.3 Legal and regulatory compliance;

21.2.4 Marketing activities (with separate consent).

21.3 Information Sharing: Personal Information shall not be disclosed to third parties without express written consent, except:

21.3.1 As required by law or court order;

21.3.2 To independent third parties for winner selection verification;

21.3.3 For Prize processing and administrative purposes.

21.4 Data Subject Rights: Participants may exercise rights of access, correction, and deletion in accordance with POPIA.

21.5 Data Retention: Personal Information shall be retained only for the period necessary to fulfil processing purposes.

22. ASSUMPTION OF RISK AND VOLUNTARY PARTICIPATION

22.1 Participation is entirely voluntary and at the Participant's own risk.

22.2 Participants acknowledge understanding of all Campaign Terms and associated risks.

22.3 No coercion or undue influence has been applied to encourage participation.

23. ENFORCEMENT AND DISQUALIFICATION

23.1 Any violation or attempted violation of these Terms shall result in immediate disqualification.

23.2 Disqualification is final and non-appealable.

23.3 Fraudulent activity may result in legal action and damages claims.

23.4 Unifi may investigate suspected violations and take appropriate action.

24. INTEGRATION WITH WEBSITE TERMS

24.1 Participants agree to be bound by Unifi's website terms and conditions available at www.unifi.credit/za.

24.2 These Campaign Terms supplement but do not replace website terms.

24.3 In case of conflict, these Campaign Terms shall prevail regarding Campaign-related matters.

25. GENERAL PROVISIONS

25.1 Severability: Invalid or unenforceable provisions shall not affect the validity of
remaining provisions.

25.2 Entire Agreement: These Terms constitute the complete agreement regarding the Campaign.

25.3 Waiver: No waiver shall be effective unless in writing and signed by authorised Unifi representatives.

25.4 Assignment: Unifi may assign its rights and obligations under these Terms without notice.

25.5 Survival: Provisions relating to indemnification, limitation of liability, and dispute resolution shall survive Campaign completion.

PARTICIPANT ACKNOWLEDGMENT

By participating in this Campaign, I acknowledge that I have read, understood, and agree to be bound by these Terms and Conditions in their entirety. I understand that participation is voluntary and that I assume all associated risks. I consent to the processing of my personal information as described herein and acknowledge my rights under applicable data protection legislation.
